assume because of their unique 'posture or so called legal position', they have the right to lie, omit the truth, or create an illusion, or push a point of view...which can be patently wrong, and designed to create the belief that something is illegal without proving it. These same people can use the press, Google, or any means at their disposal to support their position, and allege without evidence that someone is doing something which is 'unlawful' or intrinsically wrong. (Fighting these people can be dangerous, and expensive, and the same folks have an unlimited budget, that is tax payers money, and typically very long memories).&lt;br /&gt;&lt;br /&gt;Money and power as motivators are extremely powerful motives for many people and organizations taking actions directly affecting us, and most thinking people know certain people are trying to manipulate and control us all of the time....in fact, there always seems to be an agenda, and with government, it can be to acquire more power, justify it's existence, or increase it's size in order to achieve a goal of controlling by fear or intimidation. (In other words, it becomes a vicious cycle).&lt;br /&gt;&lt;br /&gt;I write this preamble, and introduction to answer, or provide a counter point to allegations which question my integrity, and veracity, and I want to provide some information, evidence, and proof to show my company was engaged in a lawful enterprise, and one making money for investors.&lt;br /&gt;&lt;br /&gt;I will be downloading a 2001 file showing oil &amp;amp; gas companies providing Joint Interest Billing (JIB) statements to my company with production revenue, and description of producing oil &amp;amp; gas assets, and estimates by petroleum engineers from one company which has been in business since 1957...something the regulators in Hawaii never cared about, or wanted to hear about, when they decided to fine my company, and charge me with misrepresentation, and making untrue statements after seven years had elapsed from the first time I did business with Hawaii residents. News</title><content type='html'>When regulatory agencies fabricate or print hearsay stories which can arrive on Google, or other news outlets, with outright lies and deliberate intention to undermine, or discredit people, and in which they claim support actions taken against you or your company...don't believe it, and don't let others accuse you of any unsubstantiated charges...not without hearing both sides of the complete story, and all of the facts. Unless you are found guilty in a court of law you are still innocent in this country, at least for now. Government has lost all of its credibility based on its fanatical need to justify its existance, expand its power with even more convoluted bureaucracy, and extract more cash from us; with licensing charges &amp;amp; fees, a plethora of new regulations, or reliance on old, or outdated laws, and many more layers and layers of taxation, or those ways they use to get your money. They simply make-up rules, laws, or trumped-up allegations without merit in many cases, especially today to drown us with their methods of control and expansion of power. One of their favorite ways to kill small business is through the cease &amp;amp; desist, or cease &amp;amp; refrain actions designed to intimidate, or discourage a small business from funding from private sources. The entertainment types want to complain about the top 1% of the population who has the wealth, and use an argument they suggest while telling us capitalism, and the free enterprise system isn't working. Well, apparently its working for the entertainment talk show, and&amp;nbsp;Hollywood types, as they make as much or much more than CEO's of major corporations. What hypocrites. These same people are in favor of socialism, or as Michel Moore suggests we need, or communism.&lt;br /&gt;&lt;br /&gt;How about noting the experience, and ability to handle pressure corporate CEO's are hired for while they work to invent or create ideas which work, and keep them competitive, while our government sells them down the river with un-fair trade agreements, and inadequate tariffs. No American worker, or union would let the American worker work for pennies per hour. My God, this is the key to our recovery, don't you think? We continuously hear congressional members talk about what they believe business needs, or what we need...while they haven't a clue of what we really require and must have to successfully run a business. It must be nice to print more money, borrow more money, and never pay it back, or go into debt with everyone in the world. Of course, we won't get into the legislation, and laws getting passed we never get to read &amp;amp; review.&lt;br /&gt;&lt;br /&gt;By the way, I'm not talking about so much of the yapping with a never ending stream of dogma, platitudes, and other academic nonsense ad nausea. Let's hear from people long out of school, who must daily do the myriad of daily tasks necessary for a business to succeed. I'm talking about people who actually implement the daily marketing and sales ideas they must constantly adjust to make work, and do so while they run businesses, and actually 'produce more than they consume'. Businesses must pay bills, pay-roll, and actually make a profit, while balancing their check-books. Lets see the government do this for change. In fact, the only way for the government to ever balance their books would be to allow the free-enterprise system to force the government to keep the books in the black! What do you think the chances are of this happening anytime soon?&lt;br /&gt;&lt;br /&gt;&lt;br /&gt;Maybe the government ought to be forced to hear directly from 'pragmatic experts', or those businesses owners who regularly do make a profit, or go broke because of the policies of interference and taxes which are too high; and are doing so in the face of withering taxation, and greatly increasing government interference through excessive regulation, and in your face involvement in their lives. Don't you think a successful business owner might just know how and what it takes to succeed? Government fear entrepreneurs. The reason is simple, entrepreneurs get up early, and work late, and they do so while they use their brains 24 hours a day, and seven days a week. Our government employees don't get up everyday thinking about how they will make a profit, and keep their businesses going. Government officials wake-up everyday trying to figure out how to respond correctly to lobbying groups, and spend a lot of their time working on ways to get re-elected after their terms are over. This must be a lot of pressure for them.&lt;br /&gt;&lt;br /&gt;&lt;br /&gt;When you are trying to build a business you take few vacations, and certainly don't take national holidays off. We need to get back to work and this isn't going to happen if half or more of the population is being supported by the half who works for a living. Actually, the number of entrepreneurs is shrinking, or moving out of the US. We've lost many of the most talented for ever. You can thank an overzealous, and loud minority of complainers, and our country's 'never do wells', and of course, our lobbyists who use the 'squeaky wheel gets the grease approach' to keeping the ear of the self-serving elected officials. These are the same selfish officials who want to continue being re-elected within our self serving government which grows by bureaucratic exponential leaps every minute, hour, and day.&lt;br /&gt;&lt;br /&gt;&lt;br /&gt;We think a forum of small business owners should sit-down as a representative group and get at the truth however revealing and less than pretty this cathartic process will be. A professional recording studio should be hired to 'accurately document' these 'get to the truth' sessions by other than main stream media. We know as thinking men and women the mainstream media will simply 'sound byte' or filter the content of the talks by business owners with government officials. Small business owners should be allowed and encouraged to ask clear, and specific questions of our elected officials about how these government representatives are going to specifically assist them, or at best, get out of the way of small business. The government officials should be absolutely forced to answer every question, or be asked to leave the discussion group. We as the people should get to hear these tapes on any news or talk show that agrees to air the entire tapes without censure or edit to please a political or other agenda. The tapes should also be put on the Internet.&lt;br /&gt;&lt;br /&gt;&lt;br /&gt;If our government, and congress plus of course the banks are required to work with business owners to solve our jobs, or debt problems, and they do this in the right spirit, we will be well on our way to economic recovery. At the very least the depression will be shortened, and the bloated aspects of our society, and the excesses will of necessity, and when the free enterprise system is allowed to work, get adjusted. Our biggest problem is worrying about being &lt;span id="SPELLING_ERROR_0" class="blsp-spelling-corrected"&gt;politically correct&lt;/span&gt; in any process we engage-in to deal with our problems of over-spending, seeing jobs and raw materials go overseas, and allowing our import/export laws be broken in the interest of internationalism, or because we fear being labeled protectionist. Let's just take care of our business, and our people for change. This report called the 'The Coming Oil Backdraft' gets into a no nonsense story about current oil fundamentals, and does so without promoting a sales idea. The author is using logic when talking about oil pricing, demand, and what happens when producers, or drilling stops because of low prices. In other words, it tells you why we are where we are right now with current oil pricing, and whats going to happen in the future when oil surplus runs low. Producers or drilling is cut-back when prices are down, however, even though demand may slow down, it doesn't stop. You then see the same whipsaw effect of higher prices when available oil supply goes down. This occurs because we haven't had an energy policy in this country for over 40 years, and we can't seem to stabilize oil prices at constant levels. Do you believe they tell the truth? Why should they when they can hide with relative ease, and impunity behind their badges, and government posts while being protected from even being identified in some cases by us.&lt;br /&gt;&lt;br /&gt;The hypocrisy we're dealing with today with government is beyond belief for this writer. A government who big corporation lobbyists court, and placate, has an obvious 'conflict of interest' as they both consort together with outrageous, and obvious duplicity, while they work 'hand in glove' to steal our money through higher prices for goods, and services, and with layer after layer of taxation, and even higher taxes. The shear audacity of the bullies in our government is really best seen when they try to deny, or cover-up their mistakes, or worse, get the media to do this for them. What cowards.&lt;br /&gt;&lt;br /&gt;Meanwhile, lobbyists continue to represent the large 'exempt' corporations and banks, who by the way, get away with selling 'exempt from registration' securities, without proper sanctions in place, such as insurance for questionable investment products such as certain mortgages sold in the secondary markets, or for hedging, or gambling with our money...This whole mess simply stinks of both Draconian, and Machiavellian corruption. I guess its really every man for himself, except the government has all of the weapons, that is to say the Legislative, Executive, and Judicial Power. Washington D.C. seems to be a snake pit of the worst sorts of our land. The folks in Washington have learned they can get what they want without any sanctions while the attorneys, and the liberal media help them make it all happen. Why for example can't we get any legislation to limit the many frivolous and ridiculous cases trial lawyer file? You know what Shakespeare said, "First we kill all the lawyers."&lt;br /&gt;&lt;br /&gt;The government and its employees with their sweet 'cradle to grave' pay-checks, paid holidays, paid health care, and pension plans just love to scare, sanction, or prosecute the smaller companies and little guys who ostensibly haven't policed themselves properly, but these government workers, and their lobbyist cronies are working for the big corporations where they normally have &lt;span id="SPELLING_ERROR_0" class="blsp-spelling-corrected"&gt;immunity&lt;/span&gt; from any real exposure like a businessman does. They know where their bread is buttered. That is to say unequivocally, they work for big business, and the government is in bed with them. I know it can be worse. The word 'bully' or dictator comes to my mind for some reason... some governments simply kill anyone who can read, write, or is educated. I spent some time in Cambodia during the Pol Pot regime, and can attest to this approach Pol Pot used against his own people before he was led out into the jungle, and was never heard from again.&lt;br /&gt;&lt;br /&gt;Here is my question...who makes sure the government is telling the truth? The media? Right! The justice department, Right! How do you sue the government for defamation of character, or for questioning and destroying a person's integrity without evidence, or for slandering a person on the Internet by leaking or posting an inaccurate story on the net, especially if you are the little guy, or own a small company without the vast resources of the government to defend yourself? What if you don't have, or can't pay enough money, or you don't want your investors to have to pay a lawyer to set the record straight with a regulatory body, or someone working for a state agency who goes after you? This is a real problem, especially when the state agency decides to single a person out without due process, or without all of the facts, or more importantly refuses to report both sides of the story. What if this same state agency simply decides to use the media to report a story that is false to advance their own false assumptions, and their lies. Should we ask Joe the Plumber how to do it?&lt;br /&gt;&lt;br /&gt;A lawyer once told me who had been a valedictorian in his &lt;span id="SPELLING_ERROR_1" class="blsp-spelling-error"&gt;Gonsaga&lt;/span&gt; Law School Class in Spokane, Washington. He said to me. "Dennis always follow your heart, and if you have difficulty figuring something out...its always about the money." Sort of like 'Occam's Razor', which is the principal in philosophy and science that assumptions introduced to explain a thing must not be multiplied beyond necessity, and hence the simplest of several hypotheses is always the best for accounting of unexplained facts. In other words if everything is in a state of flux, or unknown, just look at the most obvious solution, because this is usually the best answer. In the case of the government, its about their survival as they see it and want it, and about perpetuating the growth of more bureaucracy. The government and its lackeys do this while minimizing the productivity of hard-working businessmen who own small businesses, or with constant harassment of the citizens who are productive, and who make possible... the &lt;span id="SPELLING_ERROR_2" class="blsp-spelling-error"&gt;un&lt;/span&gt;-checked expansion of more an more government, and of course more laws. Seems like a vicious circle to me...but most seriously, when is the last time you met, or had to deal with a government employee who was comfortable with taking a risk? Any Risk? But they often can and do like to posture, and assert their authority while getting 'in your face'. Do you think you could succeed in business or sales with this attitude?&lt;br /&gt;&lt;br /&gt;I feel the need to tell the other side of a story using a current example without naming names about the miss-use of a state's power by an individual working for a state, and then reporting in a newspaper or print story which is patently untrue, and doing so while falsely reporting, and using intimidation to distort the record to advance their agenda, or to justify their existence maybe?&lt;br /&gt;&lt;br /&gt;My companies have been in the business of looking for and finding oil &amp;amp; natural gas for about 26 years now. We've had our good investment programs, and our difficult ones where we failed to meet our expectations of success at finding or recovering enough oil &amp;amp; gas to pay-out our investors over time. However, we drilled our new wells and completed our development objectives, often on expensive acreage where we were able to drill, and which were often previously owned by some of the biggest oil companies in the world. We hired petroleum engineers, geophysicists, geologists, and other experts to evaluate our prospects by researching the historical production record, and through well control analysis, and our own extensive experience in the areas we develop, we were able to make the best decisions we could to determine where to drill our new wells, sometimes deeper than 10,000' wells...yet we are said to be 'scam artists', and only re-entering 'capped wells', and not disclosing to our investors who we were, or what the risks are. (We put about 25% of our own money in the project in this case I'm referring to in our so called 'scam deal'...I suppose this doesn't count either.) By the way who made the state an expert on whether to open-up capped natural gas wells when natural gas prices haven risen 10-20 times in the last 25 years and oil is still up nearly 400% since a low it reached in about 1982-1983? I know of many companies, and operators who've re-entered plugged wells and have established successful commercial production of oil &amp;amp; natural gas over the years. These oil &amp;amp; gas people were able to apply newer technology, and take advantage of higher oil &amp;amp; gas prices to make this happen. I don't know about you, but I see government agencies who are always losing documentation, contracts, tax returns, and other important records continuously. I've never gotten an apology, or payment for my costs in supplying government agencies with copies of materials they've lost.&lt;br /&gt;&lt;br /&gt;Apparently, we still have certain folks working for state regulatory agencies who haven't figured-out that oil &amp;amp; gas investments are risky. What planet are these people living on? Do they ever leave their offices and come-out to the oil fields? I would think not, nor do I think they understand 'risk' as the rest of us know it and experience it on a daily basis in our lives. This reminds me of Jack &lt;span id="SPELLING_ERROR_3" class="blsp-spelling-error"&gt;Nicholsen's&lt;/span&gt; quote, "Debate me, how can you debate me, you haven't opened your eyes in 20 years!" Why else would you hide in a office and be satisfied with a government check? As we say in the military, never turn-down a combat assignment as an officer. We combat veterans have a saying, "if you can't stand the heat of combat, stay in the rear with the gear'" Is there anyone out there who still thinks there isn't risk associated with drilling for oil &amp;amp; gas? I'm talking about people over the age of 21. Most of my investors are accredited, sophisticated, and qualified according to the securities rules, and they darn well know the risks. Yet we can read in the story I'm referring to that somehow these wealthy investors who visited our &lt;span id="SPELLING_ERROR_4" class="blsp-spelling-error"&gt;CPA's&lt;/span&gt; offices, and our development sites, and reviewed our files, and records somehow didn't know the details of our offers and the risks involved when investing. In other words the money from new investors pays the older investors their inflated, and falsely high returns. Everything is fine until someone who does do his homework ends-up blowing the whistle, or what eventually happens is, enough people begin to connect the dots, and discover key aspects of the deal which don't add-up, and the house of cards falls down. It's usually a pretty basic &amp;amp; simple reason, which is the most galling part of the discovery. The game is over, investors now run to their big brother to save them. The big brother by the way is the government or the lawyers. Remember this, the government and the lawyers are in it for the money too. Please don't forget this point. My experience with the regulatory folks is they like to punish, are normally late in acting when there is a complaint of a problem, and they are only interested in the criminal aspects, and not the part the investors are most concerned about which is to get their money returned, or a least a big part of it.&lt;br /&gt;&lt;br /&gt;Why do quick and big returns capture the investors interest so completely they bite for this type of scam or scheme? I have a theory about the reason. Could it be investors are overly greedy, and want to be lured by the excitement of the offer, and simply lose restraint, and throw caution to the winds? Maybe its because investors don't want to take the time to verify a deal, and get the evidence to support the quick, and usually fairly large rates of return being offered by the ponzi scheme artist?&lt;br /&gt;&lt;br /&gt;Typically, a ponzi return is all about making annual returns of 40% or more based on my research over the years. The returns promised seem to be enough to beat most returns you ever make when owning your own business, and much larger than most mutual funds can ever consistently achieve. Also, the quick returns promised, and those your friend tells you he is getting, are better than stocks &amp;amp; bonds, or most any other 'passive' investment you can make. Hence the attractiveness.&lt;br /&gt;&lt;br /&gt;Since I have talked with and done business with private investors for nearly four decades now, I have another observation to make about why investors fall victim to scams. Investors like to see fast results, and if they have a friend who gets paid quick returns, they think this means they will also get the same results. While this might seem reasonable to expect, it doesn't take into account the responsibility of each investor to do his own research and due diligence. It would seem to me the set-up of a ponzi scheme plays into the emotions of the investor, and excuse me for saying say so, the complacency or laziness of the investor. &lt;/div&gt;&lt;div align="left"&gt; &lt;/div&gt;&lt;div align="left"&gt;&lt;/div&gt;&lt;div align="left"&gt;&lt;/div&gt;&lt;div align="left"&gt;Peter Lynch, the former Fidelity Magellan fund manager would make visits at the companies he was interested, and analyse these companies, and the people in the organizations engaged in a particular industry before investing the larger sums required with large managed funds. Mr. Lynch wanted to be sure of his company picks, and make certain he was doing his homework &amp;amp; due diligence, and by doing so, he became very good at identifying the marginal companies, or those companies who were not going to be profitable within the time frame needed for him to justify making the investment. &lt;/div&gt;&lt;div align="left"&gt;&lt;br /&gt;Most diversified, or multi-well oil &amp;amp; gas drilling programs involve; investing-in, and building extensive infra-structure, which often take you about two years before you start making money in these programs. If you don't think mid to long term as an investor in oil &amp;amp; gas drilling programs, and you don't make enough money to be pulling your hair-out while you are paying a large amount of federal, state, and other taxes, private oil &amp;amp; gas drilling programs are not your best way to go. A few of the problems, or reason for delays are being able to secure enough funding from private investors which can take time. Another time consumer, is analysing &amp;amp; buying the right leases, and clearing titles, getting drilling permits, and very importantly, finding people you can trust to do the job right the first time. Finding the specific equipment which is owned by field personnel who can get the job done, and not have them pull-off the job to satisfy another company who needs their rig is a challenge. Its especially so these days. We have equipment breakage issues, labor problems, competence, and a lack of experience of laborers. We are now seeing defective parts such as down hole pumps that are poorly constructed, or have cheap parts which are made in a country we've been exporting our manufacturing requirement.&lt;/div&gt;&lt;div align="left"&gt;&lt;br /&gt;There are some good people engaged in our industry who know how to use their equipment, and the upside for investors can still be a good one, if you are in the right deal with the right people. Low oil &amp;amp; gas prices mean we can get the drilling &amp;amp; completions done for less money, and if you have leases with the recoverable reserves, the upside is still there. If you are considering and reviewing oil &amp; gas private investment programs today there are some key points to remember to do during your due diligence process. Ask at some point during your review of an oil &amp; gas investment to speak with the 'operator', or the man with the license, who is bonded, insured, and supervised by the state where he drills and works as an operator in the oil &amp; gas business. You've got to talk to people who have the experience and can give you a balanced account of what to expect when investing in oil &amp; gas. One way to know this is when a professional talks about his failures, and well as his successes. People who tell you they always succeed, or over-emphasize a feature, or benefit of their current deal are not being fair &amp; balanced, and will not be able to arm you with the facts or help you need to decide the pros and cons of investing with a particular company. DON'T YOU MAKE A DECISION BASED ON BEING HAMMERED WITH A SPECIFIC CHARACTERISTIC OF ANY DEAL ABOVE ALL OTHER ISSUES, OR CONCERNS YOU SHOULD BE LOOKING AT. DO NOT BE TAKEN-IN BY AN OVERLY ZEALOUS COMMENT ABOUT A SINGLE ASPECT OF A GREAT SOUNDING DEAL. LOOK AT ALL OF THE POINTS BEING DISCUSSED. USE THE BENJAMIN FRANKLIN APPROACH. DIVIDE A PIECE OF PAPER IN HALF, AND LIST THE GOOD REASONS ON ONE SIDE, AND THE BAD REASONS ON THE OTHER SIDE. SUBTRACT THE BAD FROM THE GOOD, AND MAKE YOUR DECISION. Bottom line, you can avoid most of the excessive promote, and certainly the commissions by working directly with company officers, and owners, and their operators in legitimate oil &amp; gas drilling and production programs. Broker/Dealers know next to nothing about the 'nuts-n-bolts' of our business, and could care less...they are simply chasing a commission, while they wine &amp; dine one another, and talk about the 'flavor of the month' deal they are in love with for the moment. Most have no 'skin in the game', and have never been in an oil field for more than a couple of hours if at all. This includes the lawyers, accountants, and gate keepers working for retainers, and commissions. Make your own decision! You'll know more about the people, the deal, and the business with a couple of hours of research than most of the side-kicks out there ever will.&lt;br /&gt;&lt;br /&gt;By the way, as a 'contrarian' you can, and should now seize those opportunities that exist today in the oil patch when investing in private deals. This is where the greatest upside is, not in the stock market, or with B/D's who hustle many deals for commissions. Many of the credible people in our business have made adjustments in how they conduct themselves, and have improved their reporting, and the conduct of development with their drilling plans effort to make investors money.&lt;br /&gt;&lt;br /&gt;Investors today are getting higher percentage ownership, and pay-outs, and are typically getting a better shake, or deal these days, and have much greater upside, and have more chances to make money in highly diversified deals with the RIGHT PEOPLE then ever before. In the past you drilled a single test well 'heads-up' to test for the commercial quantities of oil &amp; gas. We now combine leases, wells, and build infra-structure as part of the development plan, while first going after the easiest re-entry's, work-overs, and least risky drilling to make investors money. We do have high prices in the field for equipment, steel, suppliers, sub-contractors, and anyone willing to come-out and get dirty. It seems the guys who do the real work want to get paid...a novel idea huh?&lt;br /&gt;&lt;br /&gt;If you are visiting oil &amp; gas promoters who often have slick operations and you are meeting with promoters telling you what you want hear, be sure you are not mislead by unfavorable comparisons to another mans deal. Unless you can review both competing company memorandums which conform to federal and state laws, and the Form D's required by each state have been filed in each state where each company, and it's sales representatives do business your aren't comparing Fuji apples to Fuji Apples, and most importantly, you aren't doing the proper due diligence.&lt;br /&gt;&lt;br /&gt;Give every company a chance to compare their deal with another company's. Then diversify, diversify, and again diversify. No one has a corner on all of the good ideas. DO NOT RELY on a single variable, or component of a great sounding oil deal. For example, if someone tells you they have a 97% completion rate, or that you can get a large ownership percentage for a small amount of money, or they rarely get dry holes, or the returns are always excellent, make sure you are running in the other direction. Chances are this is the tale of a 'sucker field' where you don't always lose money, however, you typically don't make much either. You might break even in 'blanket gas tight sands' but where's the excitement in breaking even? This is not the reason to invest in oil &amp; gas private placement programs. &lt;br /&gt;&lt;br /&gt;I've noticed during the past 25 years you will be told the top performing wells in a area, never the average, and never the percentage of dry holes, and Never the Cost of recovering the reserves of oil &amp; gas. The geologists or dreamers in our business like to tout the big reserve numbers, and they never have any money in a deal. Stay away from any deal where the promoters, or companies are giving you a less than totally balanced presentation with both the good and bad points of any deal being offered.&lt;br /&gt;&lt;br /&gt;Ask to talk to a couple of investors, or at least ask for the legal, accounting, and banking references for the company. Talk to them, you will get an impression that could be very revealing. Oil &amp; gas field operations all look pretty much the same. Pump jacks go up and down, and gas pipe lines just lie there...and this doesn't mean much. Legal descriptions, and full disclosure of the deal points, audits, and tax returns are more revealing, and the people who make sure this information is in a 506Reg-D memorandum are more honest. Displaying your dirty laundry is good for the soul. Oil &amp; gas people who do so are playing by the rules. Con men don't do this. Don't penalize the companies who fully disclose, and for admitting mistakes based on often working for years in the industry. (Full Disclosure, and everything you need to invest has to be included in a legal PPM by the way.) &lt;br /&gt;&lt;br /&gt;Everyone wants to make money in this high risk industry. The key is to deal with people who've stayed in the business through the good and bad times, and can help you with the perspective you need at the beginning of your investment planning in the oil &amp; gas business. Don't expect anyone who has been in the industry for decades to be squeaky clean relative to legal, or regulator actions. The real question is are the actions unresolved, and/or just warnings, and not judicial actions. Remember, the regulators have their own axes and agendas, as do the attorneys, and accountants who don't want to lose clients. Don't let this dissuade you from doing business with some experts who are sitting on oil &amp; gas assets taking years to acquire they want to develop. Be that unique person who makes their own decisions, and realize the crowd knows little, and the regulators, and lawyers, and gate keepers, far less...Be the contrarian, its exciting and can be very profitable. People will then say gee, how did you get so lucky? Right...oh, by the way, why not be the investor making money in private oil &amp; gas deals who smiles while filling-up their gas tank at the pumps? We are suffering because of the habits of large financial institutions, and their practice of engaging in some very bad policies which have become routine. The end result has been the federal government is having trouble figuring-out what to do while it recently bailed-out at least one brokerage/financial houses or Bear Sterns to the tune of 12 billion dollars. There will likely be more. The problem is all about playing betting games with paper rather than basing loans on hard assets which are adequately insured.&lt;br /&gt;&lt;br /&gt;According to a former head of the 'commodities futures trading commission' (CFTC), big financial institutions have caused the major problems we face now as the direct result of betting on price movement, and losing on trades by these financial institutions when they are on the wrong side of a losing trade. The homeowner defaults are only a symptom of another far greater problem.&lt;br /&gt;&lt;br /&gt;The problem we see now is the direct result of the use of betting systems involving trading strategies based on 'derivative financing' schemes, and as the result of the sale of mortgage backed securities in the secondary markets. Banks for example, often sell their mortgages on the secondary market. They pay themselves commissions, points, and other fees, and then unload the mortgage backed securities in the secondary market. They basically release themselves of any obligation to collect on these loans. Often foreign governments invest in these notes. But worse, the financial banking houses have not hedged their bets while they bet on the movement of securities, or for example on the rise of interest rates, or fall, and this is the 'shadow market place', which is completely unregulated by the government, or anyone else. The losing trades become a debt the American tax-payers who end-up paying, because the federal government has to bail these money people out when they bet wrong. In this case de-regulation caused the problem.&lt;br /&gt;&lt;br /&gt;The paper trades, and sales involve betting by the banks, investment banks, brokerage houses, and other financial institutions is all about 'greed'; and all this is happening while we as consumers who are expected to rely on them for truth in lending, integrity, and honesty are getting screwed. These same institutions avoid the requirement to provide insurance, or hedging of their bets, by never calling the practices they engage-in as insurance backed activities. Because if they did, they would be regulated by the insurance commissioner. It's insidious, and its all about greed, and you the American tax payer are going to be required via the federal government to bail-out the greedy megalomaniacs who make money by stealing-it while using a method only they understand...&lt;br /&gt;&lt;br /&gt;One alternative solution for you the investor is to bet on something that pays you cash, or dividends regularly, and is based on actual assets, and honest labor, but not on paper. Brick n' mortar ownership in defensive industries is one way to go, while investing in products, raw materials, and bartering are other ways. This may come to pass in the near future, while we see inflation, and real incomes, and buying power go down. Oil &amp;amp; gas is here to stay for quite awhile, and regardless of whether people want to accept this truth or not. We rely on this energy source for a majority of the products, and services we need.&lt;br /&gt;&lt;br /&gt;Green is great, but it doesn't pay the bills. It costs a lot of money to meet clean air emissions standards, let alone finding alternative energy sources rivaling oil for energy, and replacing oil &amp;amp; gas as the primary source. Investors trying to make a return on new energy sources are going to be looking so far in the future it will take the government and taxes to get the job done. These orders are issued by state regulators for technical violations, or other mistakes which can be made by smaller companies and their attorneys when offering private placements to private investors to raise capital for oil &amp;amp; gas drilling, real estate, and other private equity programs.&lt;br /&gt;&lt;br /&gt;Cease &amp;amp; desist orders can effectively stop smaller companies 'dead in their tracks' from raising further capital after they are issued, or until they are explained to the satisfaction of a state regulator, or dropped, dismissed, or expunged. C &amp;amp; D's are not judicial actions, and no due process, or court case legal procedure has been followed. No court whether civil, state, or federal has heard the complaint, nor made a decision or judgement, and no jury has heard an argument in a court prior to a C &amp;amp; D order that is issued by a regulator. C &amp;amp; D decisions are really unilateral actions or decisions made by department of securities regulators, at the state government level. Decisions can vary greatly from state to state, and don't have to be based on fraud, or the complaint of fraud. You are considered guilty until proved innocent when the orders are issued, and the states coordinate, and cooperate with one another when any state issues such as order. A company or person can be issued a C &amp;amp; D for a variety of reasons the state regulator writes in his findings, or when he believes a technical mistake, a violation of a rule, or omission of something is made by an individual or company that he makes a decision is material...the C &amp;amp; D's usually having nothing to do with a deal, but are issued to the company or the owners of the company.&lt;br /&gt;&lt;br /&gt;To put it bluntly, if someone accuses you of something, a state regulator can shut you down if in his opinion, he thinks this accusation or for example a competitors complaint may have merit, or is a part of a 'pattern' of violating the rules the regulator interprets. It's sort of like the story told by Fred Thompson in the movie 'Days of Thunder', when Tom Cruise, and Rowdy Gates were running into each other on the race track with their stock cars, and were told, "If you so much as touch paint one more time I'm going to pull your licenses, and stop you from racing." Then he tells the two racers about the lettuce story. If you leave lettuce on the docks and wait for the perishable lettuce to spoil before you inspect it, you know what happens. The analogy in this case is, the racer's short careers could quickly be over. This is exactly what can happen to a small, and fledgling company trying to fund itself and grow when issued an embarrassing, and heart stopping Cease &amp;amp; Desist to it's principals.&lt;br /&gt;&lt;br /&gt;If you stop a business from doing business, especially a small business with one principal source of funding, you can quickly kill the business, and greatly injure the private, and typically 'accredited' investors who fund it. In the zeal of some regulators, or enthusiasm to enforce the rules, or maybe to make a career, by simply issuing a cease &amp;amp; desist order, and then sitting on possibly an action without merit...they can absolutely, and subsequently be the prime reason you can kill a business. In a 'real' deal, or one making money, or will make money for investors, the real losers are the private investors. In my opinion, what regulators should do first is simply call the small company securities attorneys who write the private placement memorandums and give them the opportunity to make corrections, changes, or fix any mistakes, errors of omission, or unintended errors, BEFORE they issue a cease &amp;amp; desist, which takes a lot of money to get dropped, dismissed, or ever expunged.&lt;br /&gt;&lt;br /&gt;C &amp;amp; D orders are issued to private companies who operate or raise funds with a federal exemption through the private placement offering mechanism or Reg D. Private, or smaller companies are not exempt entities such as banks, insurance companies, or licensed professionals who supposedly conduct themselves in such a manner they don't need to be as carefully supervised, and controlled as tightly as the smaller companies without the business or financial acumen to control or regulate themselves.&lt;br /&gt;&lt;br /&gt;The state regulators have very broad powers to supervise and enforce the rules for smaller investment companies. The stated or written reason for this power is to keep smaller companies honest, and to make sure full disclosures are made to potential investors about the risks, and other issues they regulators want to make clear or be sure investors see in any offering memorandum made with a PPM. The problem is one of determining whether you are getting fair treatment, and can get quick resolutions when you are honest, and simply made a mistake, or your attorney has made a mistake in writing the private placement memorandum you use to raise funds.&lt;br /&gt;&lt;br /&gt;The direct participation private placement exemption or Regs 502-506-D are allowed or permitted by the FEDERAL government to enable the smaller companies who have few other choices to raise investment capital, and the private investor may be their only real recourse to start businesses, or fund small oil &amp;amp; gas companies prior to being able to qualify, or pay the relatively expensive costs associated with taking a company public, or doing an &lt;span class="blsp-spelling-error" id="SPELLING_ERROR_0"&gt;IPO&lt;/span&gt; for example.&lt;br /&gt;&lt;br /&gt;Most smaller companies involved with drilling programs for example cannot meet the bank requirements for getting loans. Banks are not in the habit of taking risk they can't control, and want collateral they understand such as homes &amp;amp; cars. Increasingly, in my opinion, the smaller private, and independent companies started by entrepreneurs are being squeezed out of the marketplace by large corporations with government help and support. This promoter's idea was to use 'fronters' or phone callers to qualify prospective investors, after which a 'closer' would then make the sale. After talking with the promoter or middleman for awhile on the phone, it became apparent to me that his primary concern was figuring out how much he could 'load' the investment, and thereby make a large profit for himself. He wanted 30% off the top, or 30% of the gross funds raised.&lt;br /&gt;&lt;br /&gt;There are promotional companies offering oil &amp;amp; gas investment programs with huge promotes on dollars raised from investors...in other words, a large part of the money raised will never get into the oil &amp;amp; gas investment program designed to make you money, or make it possible for a decent profit to be paid you on your investment. Reputable operators, and small independent oil companies will not want to do business with an un-licensed salesperson, or with un-registered broker/dealers who charge excessive promotes. Under current securities laws the maximum remuneration that a B/D can charge is 10%, and they can take 3% for syndication, legal, accounting, and other administrative costs, and fees. However, an issuer or principal of an oil &amp;amp; gas company can talk about, and present his own company's products, but cannot collect a commission for his efforts. Commissions can only be paid to licensed broker/dealers, and licensed sales persons.&lt;br /&gt;&lt;br /&gt;Bottomline, and this is incredible, the promoter responder to my website was simply trying to get me to fund him for his 'calling room', more aptly described as a 'boiler room' using un-licensed salespeople to sell oil &amp;amp; gas, or as a third party, or non-operator he would assume the position of a middle man who would then be carving-out a big piece of the potential profit that could ultimately be paid to an investor in a successful program.&lt;br /&gt;&lt;br /&gt;&lt;a href="http://www.oilandgasinvesting.com/"&gt;http://www.oilandgasinvesting.com/&lt;/a&gt;&lt;br /&gt;&lt;br /&gt;You must know how to avoid the un-licensed salespeople, or non licensed broker/dealers, and promoters, or at the very least be able to determine what their promote is...because your success at investing in the 'right' oil &amp;amp; gas investments depends on it...email, or call me for information about how to determine the various ways you can identify the best companies to consider doing business. You want to be able to find those companies who are approaching the oil &amp;amp; gas business with the goal of enabling investors the opportunity to make the highest returns possible given the intrinsic risks in our industry.&lt;br /&gt;&lt;br /&gt;Another thing to remember about the oil &amp;amp; gas industry. There are many individuals, and companies working very hard to find oil &amp;amp; gas, and make investors money. Oil &amp;amp; gas companies need to be flexibile, and be able to move quickly to take advantage of opportunities they discover while developing oil &amp;amp; gas properties. Few guarantees can be made about performance...however, effort and persistance, and committment, along with years of experience do increase ones chances of making money in oil &amp;amp; gas.&lt;br /&gt;&lt;br /&gt;In any deal as Yogi Berra would say, "It ain't over, until it's over!" So the wise approach is to let the companies you are investing with finish whatever development plans they have before passing judgement on their ultimate success or failure in an endeavor. Don't rely on third party heresay or someones myopic point of view, or 'full of holes' analysis based on an 'axe grinder's view' of any oil deal. I once told a hippy in 1970 while at college..."you only criticize, and then asked him why? His answer was, "I reserve the right to criticize, without offering a solution!" Wonderful ain't it? Is this still where we are in the US today? "Don't confuse me with the facts, or evidence, as my mind's already made-up?"&lt;br /&gt;&lt;br /&gt;&lt;a href="http://www.americanenergy@gmail.com"&gt;http://www.americanenergy@gmail.com&lt;/a&gt;&lt;br /&gt;&lt;br /&gt;If you cannot talk directly with management, and verify ownership of leases, or acreage controlled by an oil company, or you don't see legal descriptions in the offering memorandum you receive, these are additional signs you'll want to note, that something 'stinks in the state of Denmark!'.&lt;br /&gt;&lt;br /&gt;P.S. By the way, if you see personal attacks made on specific companies, or individuals in the oil &amp;amp; gas industry, such as those you see on blog sites, ask for the name of the blogger, and for their address, phone number, and for actual evidence supporting their compliant, or rantings. Look beneath the surface, and make sure you don't base your decision on inaccurate information, or old news which is no longer true. Also, don't base your opinion, or decisions you make on any third party heresay without knowing their agenda which isn't being disclosed. Remember, there are always two sides to any story. The reason for the difficulty when you are analysing a deal, or company is simple, because, as they say in Hollywood, "You're only as good as your last picture show!"&lt;br /&gt;&lt;br /&gt;There are some specific things to find-out, and verify when seeking information about track records, and thereby determine who has the best track record at making investors money in the oil &amp;amp; gas industry. I've been in the industry for 25 consecutive years now, and I have failed at most, if not all of the ways to find oil, or figuring-out how to identify oil &amp;amp; gas companies who can find oil &amp;amp; gas. I've found the ways that a majority of the time don't consistently work, however, I've also found many of the best ways to succeed.&lt;br /&gt;&lt;br /&gt;A particular point to remember as a prospective oil &amp;amp; gas investor is don't think in terms of getting rich quick. Instead, think like a sophisticated investor, and first look for the preseveration of your capital, along with getting excellent upside returns, and great tax write-offs. In other words, in my opinion, there is a long term historical misconception still held by many investors and investment advisors, and this is still true today. This misconception, or false belief is, you can make money quick &amp;amp; fast in oil &amp;amp; gas...which is wrong most of the time! You can still get great tax write-offs from the government, which should motivate you to be patient while an oil &amp;amp; gas company completes it's development plan. Plus, you can also make great returns over time when the company you invest with understands the value of 'booking reserves', or establishing 'recoverable reserves', and paying cash flow while they do so. I'm also more of an entrepreneur than many Americans, but we are reaching a cross roads, or in my estimation a 'critical mass point' relative to the American &amp;amp; world energy industry, and its ability to meet the needs of our country during the next decade.&lt;br /&gt;&lt;br /&gt;There are some good solutions to weather the storms while we figure-out the best plans to cope with and solve our energy problems. One good thing you can do in the meantime is to consider investing in oil &amp;amp; gas, or begin hedging your bets in our industry at this time in history.&lt;br /&gt;&lt;br /&gt;NOTE: Take a look at the article from Peak Oil and at least alert yourself to the problem we all face, and start thinking about ways to take advantage of your best opportunities to offset the bad news, with some good news. In other words, look at many ways, both conventional, and unconventional, to make more money, and cut spending while you're at it. It just might be a good idea to think about investing &amp;amp; making money in private oil &amp;amp; gas direct participation investments. Be a contrarian, and be different than the masses.&lt;br /&gt;&lt;br /&gt;Search for "peak oil" on any internet search engine, or click on the hyperlink. Those two little words will change your life forever, just as they have mine. &lt;a href="http://www.peakoil.com/"&gt;http://www.peakoil.com/&lt;/a&gt;&lt;br /&gt;&lt;br /&gt;Peak Oil article: The world we live in is about to change for the worse, as cheap oil will soon become a thing of the past. The high prices you have seen at the gas pump is nothing yet, compared to what it will be in a few years time. Not due to the greed of oil companies (of which they are, no doubt), but due to geology. Unfortunately, oil is a non-renewable fossil fuel, upon which our economy is highly dependent, and of which there is no suitable replacement.&lt;br /&gt;&lt;br /&gt;Demand for oil will soon outstrip worldwide supply. Worse yet, worldwide production of oil will soon decrease, as available oil supplies dwindle.&lt;br /&gt;&lt;br /&gt;Even a small decrease in the amount of available oil will cause the prices of everything to rocket to the sky, and could easily prompt a recession. Why? All manufacturing and transportation is dependent on energy, and a oil in particular. Everything that you consume must be transported, often from places around the globe. Even a small decrease in the available supply of oil will cause the prices of everything to become more expensive. For most applications, in particular transportation, there is no suitable replacement for oil.&lt;br /&gt;&lt;br /&gt;I am writing this message to try and warn as many people as possible about the danger at our doorstep, caused by declining oil availability.
